If close your business do you have to reclaim depreciation on your biz computer?

My friend asks: If you had a sole proprietorship business for one year, during which time you purchased and used a computer strictly for business use, what happens the next year on your taxes if you close the business on Jan. 1st of the next tax year? Do you have to reclaim some of section 179 deduction (section 179 was used during the tax year of purchase) or is the computer just considered completely written off since the business failed and closed?
tro, are you sure that the computer wouldn’t be considered shifted to personal use once the business closed?

The difference between the 179 expense taken and what would have been allowed under regular MACRS is recaptured and reported as income on the same schedule on which it was orginally deducted.

The double whammy is that the recapture amount will also be subject to self-employment tax (approx 15%).

What business structure is best if i want to start a web design business and market prodcuts online?

I want to start a web design business and marketing products online. I would be selling digital products internationally and designing web sites for companies and individuals. What kind of business structure (sole proprietorship, incorporated…etc) would suit both business? Which one would protect me the most?

If you are looking for protetction you will need to set up a corporation. This is basically a seperate legal entity which files its own taxes and can sue or be sued by other individuals or corporations.

A corporation does add cost: initial set up, you will need a corporate address (usually not a PO box), annual record keeping, reporting, and taxes. When done correctly it will protect your personal assets from being taken in the event the corporation is sucessfully sued.

A word of caution in setting the corporation up. There are process and procedures you need to adhere to to ensure your assets are properly protected behind the corporation.
These include (but are not limited to) personal guarantees, maintaining your minutes book, bylaws, proper shareholder designations, etc. If you do not set the corporation up properly you could be inadequately protected.

The safest way (but most expensive) is to see a lawyer to set something up but you can use your own discretion.

What percentage of a business do you typically have to give to an investor funding a business idea?

I’m going to be starting a business and I have a person that is willing to handle all of the development costs etc. Since it is an online business, the start up costs are pretty low for a business, under $10,000 definitely, probably under $5,000.

In this type of situation, what portion of the company is given to the investor?

In a TYPICAL venture deal (yours is not, of course, since it’s so small), it would be pretty common to give seed round investors 20-30% of the equity. Another way to look at it is that private equity investors expect to get 15x-20x their investment if the company is very successful. If your company (assuming success) might have a market cap of $1MM, then 20x on a $5M investment would only be 10%. It’s usually a negotiating process in any case.
